How come I cannot get my computer to go into standby mode?

Q: Years ago after a motherboard replacement, my computer has lost the ability to power-down, when in an inactive state, causing me to waste electricity and machine life. When I try to manually enter the computer into ‘standby’ or hibernate, I get the following message, “The device driver for the Compaq PS2 Keyboard (2K – 3)’ device is preventing the machine from entering standby. Please close all applications and try again. If the problem persists, you may need to update this driver.”

I already have Service pack 3 installed. When I tried to update the driver with the ‘drivers and utility CD’ I have, it stated that it was service pack 2, and so I canceled the update with that disk, thinking it would overlay the service pack 3 install for the rest of the files. (version rv3.02B).

I cannot seem to find and install the correct driver for the keyboard that is evidently preventing this power down. Does the keyboard have anything to do with this?. The keyboard itself is working just fine. How is it interfering with the hibernate and standby? I am confused and frustrated. Can you walk me through the correct update?
